Terms of Service
The short version
- Mukala helps you run your store. Nothing is posted or published to your accounts until you approve it.
- You own your store, your accounts, your content and your data. We own the software.
- AI can be wrong. You review everything before it goes out, and you are responsible for what you approve.
- The platforms you connect (Shopify, X, Google and others) keep their own rules, and you must follow them.
- Our liability is limited, as set out below. This summary is a guide, the full terms control.
1. About these terms
These terms are an agreement between you and Mukala LLC, a limited liability company formed in Pennsylvania ("Mukala", "we", "us"). They cover the Mukala app at app.mukala.ai and our marketing site at mukala.ai (together, the "Service").
By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service for a company or other organization, you confirm you have authority to bind it, and "you" includes that organization.
2. The Service
The Mukala app is a web app for people who sell digital products. It gives you dashboards of your sales and customers, and workflows that draft listings, social posts, replies and reports with AI help.
The Service can post or publish to your connected accounts, but only after you, a human, approve it. We may add, change or remove features over time.
3. Who can use it
You must be at least 18 years old and use the Service for business purposes. The Service is not for personal, family or household use, and not for anyone under 18.
4. Your account and security
- Sign up with accurate information and verify your email address.
- Keep your password and any two-factor authentication (2FA) methods safe. Do not share your login.
- You are responsible for activity under your account, including activity by people you give access to.
- Tell us right away at hello@mukala.ai if you think your account has been used without your permission.
5. Connected accounts and platform rules
You can connect accounts from other platforms, such as Shopify, X, Google (including YouTube, Analytics and Search Console), Discord, Meta, Etsy (later) and Typefully. Where a platform supports it, you connect with one-click sign-in (OAuth). Otherwise you give us an API key.
By connecting an account you tell us you have the right to do so, and you authorize us to read data from it and, only after your approval, to post or publish to it as part of the workflows you run.
Each platform's own terms and policies apply to your use of it through the Service, including the rules of X and Shopify. You must follow them. We are not affiliated with or endorsed by those platforms. A platform can change its rules, limit access or end access at any time, and that may limit or break parts of the Service. We are not responsible for that.
You can disconnect an account in the app at any time. You may also need to revoke access inside the platform itself.
6. Approvals and your content
The Service drafts content for you. Nothing is posted or published to your connected accounts until you approve it. Our approval and audit logs record what was approved.
You are responsible for everything you approve and publish. That includes whether it is accurate, lawful, not misleading, and compliant with the rules of the platform it goes to and with any advertising, endorsement and consumer protection laws that apply to you. Read each draft before you approve it.
7. AI features
- AI output can be wrong, incomplete, out of date, or similar to output other people receive. It is not legal, tax, financial or other professional advice.
- You review and approve before anything is published. Do not rely on AI output without checking it.
- We do not use your data to train our own models.
- Which AI provider runs a step depends on the workflow step and your shop settings. The data terms of those providers apply to their processing. See our Privacy Policy for the list.
- On paid plans, AI usage is covered by us within usage caps. The caps are shown in the app or at purchase, and we may change them with notice.
8. Your data and your customers' data
You own your store, your connected accounts, your content and your data ("Your Data"). You give us a limited right to host, process, copy and display Your Data only as needed to run the Service for you, to keep it secure, and to meet legal obligations.
Store data we pull from connected platforms can include personal information about your customers, such as names and emails in orders and messages. We process that on your behalf, as a processor or service provider, and only to provide the Service. You are responsible for having the right to connect that data and for giving your customers any notices the law requires. How we handle personal information is explained in the Privacy Policy.
9. Acceptable use
You agree not to:
- send spam, or use the Service to send unwanted or bulk messages;
- infringe anyone's copyright, trademark or other rights, or upload or publish content you do not have the right to use;
- publish deceptive, fraudulent or misleading content, including fake reviews, fake testimonials and false claims;
- break the rules or terms of any connected platform, including X and Shopify, or use the Service to get around a platform's limits;
- break the law, or use the Service for anything illegal or harmful;
- attack, probe or overload the Service, or try to get into accounts or data that are not yours;
- copy, reverse engineer or resell the Service, or use it to build a competing product; or
- use the Service in a way that puts our providers or other customers at risk.
10. Fees, trials and cancellation
Some plans are paid. Fees are shown at purchase. They are billed through the platform or payment processor named at checkout, which may be the Shopify Billing API if you install the app from the Shopify App Store. Our payment processor is Stripe. Any trial terms are as shown at sign-up.
Paid plans renew until you cancel, unless the checkout says otherwise. You can cancel at any time, and cancellation takes effect at the end of the period you have already paid for. Unless the law requires it or the checkout says otherwise, fees already paid are not refunded. Taxes may apply. We may change prices with notice before your next billing period.
11. Suspension and termination
You can stop using the Service and close your account at any time. We may suspend or end your access if you break these terms, if your use creates risk or legal exposure for us or others, if a connected platform requires it, or if you do not pay. Where reasonable, we will tell you first.
When your account ends, your right to use the Service stops. We handle your data as described in the Privacy Policy. Sections that by their nature should survive, such as ownership, disclaimers, liability limits, indemnity and governing law, survive.
12. Ownership
You own the content you create, approve and publish through the Service, subject to the rights of third parties and the AI providers' terms. We own the Service, including the software, design, and the Mukala and H2O names and marks. These terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. We reserve all rights not expressly given.
Names and logos of other companies belong to them.
13. Feedback
If you send us ideas or suggestions about the Service, we may use them without owing you anything. This does not give us any rights to Your Data.
14. No warranties
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, whether express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty about the accuracy of AI output. We do not promise the Service will be uninterrupted or error free, or that it will increase your sales or revenue. We do not control connected platforms and do not promise they will stay available to the Service.
15. Limit of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if we were told they were possible.
Our total liability for all claims relating to the Service is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
Some places do not allow these limits, so they apply only as far as the law permits. Nothing in these terms limits liability that cannot be limited by law.
16. Indemnity
You will defend and indemnify Mukala, and its owners, officers and employees, against claims, losses and costs (including reasonable legal fees) that come from content you approve or publish, Your Data, your use of connected platforms, or your breach of these terms or the law.
17. Governing law and venue
These terms are governed by the laws of Pennsylvania, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts located in Chester County, Pennsylvania, and you and we consent to those courts.
18. Changes to these terms
We may update these terms. If a change is material, we will tell you by email or in the app before it takes effect. The effective date at the top shows the latest version. If you keep using the Service after a change takes effect, you accept the new terms. If you do not agree, stop using the Service and close your account.
19. General
These terms and the Privacy Policy are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest stays in effect. If we do not enforce a part, that is not a waiver. You may not transfer your account or these terms without our written consent. We may transfer them as part of a merger, sale or reorganization.
